1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the AyaSpeech developer portal, API endpoints, and related services (collectively, the "Service") operated by AyaData. By creating an account, generating an API key, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

AyaSpeech provides Automatic Speech Recognition (ASR), Machine Translation (MT), and Text-to-Speech (TTS) APIs focused on Asante Twi and other African languages. The Service is offered across multiple tiers, which may differ in rate limits, usage quotas, retention policies, and available features. We may add, modify, or discontinue features of the Service over time.

3. Accounts and API Keys

You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under them. API keys are issued to you and must not be shared, resold, or embedded in publicly accessible client-side code. You agree to notify us promptly of any unauthorized use of your account or keys.

4. Acceptable Use

When using the Service, you agree that you will not:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Submit content that infringes the intellectual property, privacy, or other rights of any third party.
• Attempt to reverse engineer, scrape, or extract the underlying models, training data, or source code.
• Circumvent rate limits, usage quotas, or any access or authentication controls.
• Use the Service to generate misleading, deceptive, or harmful synthetic speech, including impersonation without consent.

5. Usage Limits and Quotas

Access to the Service is subject to the rate limits and quotas associated with your tier. We may throttle, suspend, or limit requests that exceed these limits or that we reasonably believe place undue strain on the platform. For higher volumes or custom requirements, enterprise plans are available on request.

6. Intellectual Property

The Service, including its underlying models, software, documentation, and branding, is owned by AyaData and protected by intellectual property laws. You retain ownership of the content you submit to the Service ("Inputs") and the outputs generated for you ("Outputs"), subject to your compliance with these Terms. You grant us a limited license to process your Inputs solely to provide and improve the Service, in accordance with our Privacy Policy.

7. Data and Privacy

Our collection, storage, and use of information is described in our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the data practices described there. We align with industry standards including GDPR and SOC II compliance.

8. Service Availability and Disclaimers

The Service is provided on an "as is" and "as available" basis. While we strive for high availability and accuracy, we do not warrant that the Service will be uninterrupted, error-free, or that transcription, translation, or synthesis outputs will be wholly accurate. You are responsible for reviewing Outputs before relying on them in production or critical contexts.

9. Limitation of Liability

To the maximum extent permitted by law, AyaData shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total liability for any claim arising under these Terms shall not exceed the amounts you paid to us for the Service in the three months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms or use the Service in a manner that may cause harm to us, other users, or third parties. You may stop using the Service and close your account at any time. Provisions that by their nature should survive termination will continue to apply.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
